These Terms of Use (“Terms”) are a binding agreement between you and TrueLynk Corp. (“TrueLynk,” “we,” “our,” or “us”) governing your access to and use of the TrueLynk website, applications, platform, and related services (collectively, the “Services”). By creating an account, clicking to accept, or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind that organization.
1 Eligibility and Authority
You must be at least 18 years old and legally able to enter into these Terms.
You must provide accurate, current information and use the Services only for lawful business or professional purposes.
If you act for a company, community, or other organization, you represent that you are authorized to do so.
You may not use the Services if prohibited by applicable law or if TrueLynk has previously suspended or terminated your access, unless TrueLynk authorizes your return.
2 What TrueLynk Does
TrueLynk provides Relationship Intelligence and AI-assisted tools that help people and organizations organize, understand, search, match, and selectively activate professional relationships. The Services may help Users create Personal Relationship Networks; participate in Company, Community, or other Relationship Networks; identify potential relationship paths and opportunities; collaborate; request or make introductions; track activity; and participate in Advisor or other approved roles.
TrueLynk may also provide onboarding, program-success support, network expansion, Advisor recruiting, strategy, messaging, outreach, or other services under a separate order form, subscription, statement of work, or agreement.
TrueLynk does not guarantee the accuracy of relationship information or automated suggestions, the availability or willingness of any person, any introduction or meeting, or any commercial, employment, investment, partnership, advisory, or other result.
3 User Roles and Relationship Networks
3.1 Users
Every individual account holder is a “User.” A User may use TrueLynk for personal professional relationship organization and opportunity discovery, subject to available features and these Terms.
3.2 Network Members
A User may be invited or approved to join one or more Company, Community, or other Relationship Networks as a “Network Member.” Membership in one Relationship Network does not imply membership in another. Each network may have its own eligibility, participation, visibility, confidentiality, rewards, and conduct requirements.
3.3 Advisors
A User may express interest in becoming an “Advisor.” Advisors are Users who may selectively support one or more Solution Providers through introductions, relationship intelligence, insights, meetings, consulting, strategic guidance, or other agreed activities. Advisor participation is subject to review, availability, conflicts, applicable program terms, and any separate Advisor or opportunity agreement. A User may be a Network Member, an Advisor, both, or neither.
3.4 Clients Solution Providers and Enterprises
A “Client” is a company or organization that purchases Services, creates or operates a Relationship Network, or enters into an agreement with TrueLynk. A Client seeking growth, introductions, or Advisor support may be referred to as a “Solution Provider.” An “Enterprise” is an organization or potential buyer that may receive an introduction to a Solution Provider. These descriptions are functional roles, and the same organization may have different roles in different contexts.
4 Accounts and Security
Maintain accurate account information and promptly update material changes.
Keep credentials confidential and do not permit unauthorized account use.
Promptly notify TrueLynk of suspected unauthorized access or security incidents.
Accept responsibility for activity conducted through your account, except to the extent caused by TrueLynk’s breach of applicable obligations.
Do not create an account for another person without authority or impersonate any person or organization.
5 Relationship Information and Privacy Controls
Users may import, upload, enter, classify, rate, enrich, or otherwise provide information about professional relationships. Users control what relationship information they choose to make visible or share, subject to available settings, disclosures presented in the Services, these Terms, and any applicable network or program agreement.
Joining a Relationship Network does not give the network operator or its members unrestricted access to a User’s entire Personal Relationship Network or contact list. Limited relationship signals may be used or displayed within a relevant Relationship Network when the User has made them available. Specific relationship details or contact information may be shared when the User chooses to provide them, approves a request, participates in an introduction, or otherwise authorizes sharing.
Users must treat relationship information with care and may not use information obtained through TrueLynk for unauthorized outreach, spam, harassment, surveillance, discrimination, or purposes unrelated to the relevant Relationship Network or opportunity.
6 User Provided Data and Permissions
You retain ownership of information and content you submit to the Services (“User Content”). You grant TrueLynk a nonexclusive, worldwide, royalty-free license to host, copy, process, organize, classify, enrich, analyze, display, transmit, and otherwise use User Content as reasonably necessary to provide, secure, support, and improve the Services and to fulfill your instructions. This license ends when the User Content is deleted from active systems, subject to reasonable backup retention, legal obligations, and information incorporated into records that TrueLynk must retain.
You represent that you have the rights and lawful basis necessary to provide and use User Content through the Services. You will not upload sensitive personal information, private communications, confidential third-party materials, or data obtained through prohibited scraping, circumvention, or violation of another service’s terms. If you import information from a third-party platform or export file, you are responsible for complying with applicable law and that platform’s terms.
If you provide information about another person, you will use it only for legitimate professional purposes and will respect that person’s rights and reasonable expectations. TrueLynk may remove or restrict information when it reasonably believes the information was provided unlawfully, inaccurately, or contrary to these Terms.
7 Artificial Intelligence and Automated Features
The Services may use artificial intelligence, machine learning, automation, and data enrichment to classify relationships, suggest ratings or context, identify potential matches or introduction paths, prioritize opportunities, generate summaries or draft messages, and support other features. Outputs may be incomplete, outdated, biased, or incorrect and should be reviewed by a User before use or disclosure.
Automated suggestions do not establish that a relationship exists, that a person is willing to help, that an introduction is appropriate, or that an opportunity will succeed. Users are responsible for professional judgment, accuracy checks, permissions, and communications.
8 Matches Introductions and Opportunities
A potential match or path is a suggestion, not an obligation or endorsement. Users decide whether to explore an opportunity, disclose context, contact someone, request or make an introduction, or continue participating. A User may decline an introduction or opportunity unless a separate agreement states otherwise.
Users must not misrepresent relationship strength, authority, interest, access, endorsements, expected outcomes, or another person’s willingness to participate. TrueLynk may facilitate collaboration but is not a party to communications, negotiations, or transactions between Users unless expressly stated in a separate written agreement.
9 Advisor Participation and Conflicts
An Advisor may support multiple Solution Providers. Advisors are responsible for identifying and disclosing actual or potential conflicts, restrictions, confidentiality duties, employer policies, fiduciary duties, securities-law concerns, procurement rules, and other obligations that could affect participation. TrueLynk or a Solution Provider may decline, pause, or end an Advisor’s participation based on fit, conflicts, conduct, performance, or business needs. Joining a Relationship Network does not automatically make a User an Advisor, and becoming an Advisor does not automatically grant membership in every Relationship Network operated by a Solution Provider.
An Advisor does not have authority to bind TrueLynk or a Solution Provider unless expressly authorized in writing. Advisor participation does not create an employment, agency, partnership, joint venture, fiduciary, brokerage, or franchise relationship with TrueLynk.
10 Fees Rewards and Payments
Company subscriptions, program fees, recruiting fees, services, rewards, and payment terms are governed by the applicable plan, order form, statement of work, Client agreement, Advisor agreement, or program terms. Prices and features may change prospectively as permitted by the applicable agreement.
Potential Advisor or Network Member rewards may include meeting fees, introduction fees, revenue share, retainers, advisory fees, equity, or other agreed consideration. No reward is earned unless the applicable eligibility requirements and written program terms are satisfied. Unless otherwise agreed, payment may depend on TrueLynk receiving corresponding funds from the Client. Users are responsible for taxes and required documentation.
11 Acceptable Use
You may not:
misrepresent your identity, authority, relationships, ratings, qualifications, interest, or results;
upload or use information without required rights, permissions, notices, or lawful basis;
send spam, conduct unauthorized outreach, scrape data, or use confidential relationship information outside approved purposes;
pressure, harass, discriminate against, deceive, or exploit another person;
use the Services to violate privacy, publicity, intellectual-property, employment, antitrust, anti-bribery, securities, export, sanctions, or other applicable laws;
interfere with security or operation, probe vulnerabilities, introduce malicious code, bypass access controls, or access another account without authorization;
reverse engineer, copy, frame, resell, or create derivative products from the Services except as permitted by law or written agreement;
use automated means to access the Services except through approved features or written authorization;
circumvent agreed fees, rewards, payment obligations, program processes, or contractual protections; or
use the Services or outputs to develop or train a competing product or model without TrueLynk’s written permission.
12 Confidentiality
Information identified as confidential or that reasonably should be understood as confidential—including nonpublic relationship information, target accounts, opportunity details, business plans, pricing, messages, and personal data—must be protected and used only for the purpose for which it was disclosed. This section does not replace a separate confidentiality agreement and does not apply to information that the recipient can demonstrate was lawfully known without restriction, independently developed, publicly available through no breach, or lawfully received from another source.
13 Intellectual Property
TrueLynk and its licensors own the Services, software, interfaces, workflows, designs, trademarks, documentation, content, models, algorithms, and related intellectual property, excluding User Content. Subject to these Terms and any applicable paid plan, TrueLynk grants you a limited, revocable, nonexclusive, nontransferable right to use the Services for their intended purpose.
If you provide feedback, you grant TrueLynk a perpetual, worldwide, royalty-free right to use it without obligation, provided TrueLynk does not identify you publicly as the source without permission.
14 Third Party Services
The Services may link to, integrate with, or rely on third-party products and services. TrueLynk does not control and is not responsible for third-party services, terms, content, availability, security, or privacy practices. References to or interoperability with a third-party platform do not imply affiliation or endorsement.
15 Suspension and Termination
You may stop using the Services and may request account closure, subject to applicable agreements, payment obligations, retention requirements, and organizational account controls. TrueLynk may restrict, suspend, or terminate access if it reasonably believes you violated these Terms or another agreement, created legal or security risk, misused relationship information, failed to pay amounts due, or if suspension is required to protect TrueLynk, Users, Clients, or third parties.
Upon termination, your right to use the Services ends. Provisions that by their nature should survive—including ownership, confidentiality, payment obligations, disclaimers, limitations of liability, indemnification, and dispute terms—will survive.
16 Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TRUELYNK DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS. TRUELYNK DOES NOT WARRANT THAT RELATIONSHIP DATA, AI OUTPUTS, MATCHES, INTRODUCTION PATHS, USERS, OPPORTUNITIES, OR THIRD-PARTY INFORMATION ARE ACCURATE, COMPLETE, CURRENT, AVAILABLE, OR SUITABLE.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
17 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUELYNK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR RELATIONSHIPS, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUELYNK’S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TRUELYNK FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS IF YOU USED THE SERVICES WITHOUT PAYMENT. A SEPARATE WRITTEN AGREEMENT MAY PROVIDE A DIFFERENT LIMIT.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply.
18 Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless TrueLynk and its officers, directors, employees, contractors, and affiliates from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your User Content, misuse of the Services, violation of these Terms or law, infringement of another person’s rights, or conduct in an introduction, Advisor engagement, or other opportunity. This obligation does not apply to the extent a claim results from TrueLynk’s own unlawful conduct.
19 Changes to the Services and Terms
TrueLynk may modify the Services and these Terms. We will post revised Terms and update the “Last Updated” date. When required, we will provide additional notice or obtain consent. Material changes will apply prospectively as required by law. If you do not agree to revised Terms, you must stop using the Services.
20 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Subject to any rights that cannot lawfully be waived, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from or related to these Terms or the Services, and you consent to personal jurisdiction and venue in those courts.
21 General Terms
These Terms, the Privacy Policy, and any applicable order form or separate agreement constitute the agreement governing the relevant Services. If a separate signed agreement conflicts with these Terms, the separate agreement controls for its subject matter. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain effective. You may not assign these Terms without TrueLynk’s consent; TrueLynk may assign them in connection with a merger, reorganization, financing, sale of assets, or by operation of law. Headings are for convenience only. Electronic notices and signatures are permitted.
